This page describes how Outshine operates and is written to be accurate about the platform’s mechanics. It has not been reviewed by counsel and is not a substitute for a signed advertising agreement. Have it checked before launch.
1. Who these terms are between
These terms are between Outshine (“we”, “us”) and you — whether you are browsing the marketplace, holding an account, or advertising on the platform. Using any part of Outshine means accepting them.
2. What Outshine sells
Outshine sells advertising placement: the right to have your creative occupy a defined position on a defined surface for a defined period, won at auction.
We do not sell, promise or guarantee traffic, impressions beyond what is measured, clicks, enquiries, sales or revenue. We do not sell organic search ranking, and no amount of spend affects a listing’s position in search results — see how it works.
3. Accounts
You must give an accurate email address and keep your credentials to yourself.
An account must be verified by email before it can bid. A brand must be verified before its campaigns can go live.
You are responsible for what is done under your account, including by colleagues you add to an advertiser.
We may suspend an account for breach of these terms or of the content policies. A suspension can be disputed through the complaints route, which stays open to a suspended account.
4. Bidding
A bid is a binding commitment. If it wins, you owe the clearing price for that placement period.
The minimum next bid, the authoritative close time, the winner and the clearing price are all determined by our servers. A figure displayed in your browser is informational; the server’s is the one that counts.
A bid below the server’s minimum is refused. So is a bid from a campaign that is not active or is out of budget.
Equal bids are decided in favour of the earlier one.
A bid may be retracted only with a documented reason, and we may decline a retraction. Bids are binding because that is what makes an auction mean anything.
Where a placement carries an extension window, a bid in the final minutes moves the close, up to the published maximum.
5. Awards, billing and payment
Prices are in Indian rupees and are tax inclusive: a winning bid is the total owed, with GST backed out of it rather than added.
Money committed to a winning bid counts against a campaign’s budget immediately, before it is charged.
An auction that receives no bid meeting the reserve goes unsold and charges nobody.
We may cancel an auction. Where we do, the reason is recorded, and advertisers who bid are not charged.
There is no self-service refund. Genuine problems go through complaints.
6. Your advertising content
You are responsible for everything in your creative. You must not submit content that:
makes a claim you cannot substantiate;
infringes anybody’s intellectual property, or offers counterfeit goods;
impersonates another brand or person;
is offensive, or unlawful under Indian law;
points at a destination that is broken, deceptive or unsafe.
Listings are screened and reviewed. We may refuse, pause or remove a listing that breaches these standards, and we may require substantiation for an advertising claim.
7. What we publish about you
Once a placement you won is actually running, we publish the placement, your brand name and the clearing price. We do not publish your budget, your per-placement ceiling, your total spend, your contact details or anything about an auction that is still open. See privacy and transparency.
8. Availability
We aim to keep Outshine available but do not guarantee uninterrupted service. Where an outage affects an auction, we will act to keep the auction fair — including extending or cancelling it.
9. Liability
To the extent permitted by law, our liability in connection with a placement is limited to the amount you paid for that placement. We are not liable for indirect or consequential loss, including lost profit or lost business.
10. Changes
We may change these terms. Material changes will be notified to account holders, and the date at the top of this page always reflects the current version. Content policies may require explicit acceptance before you can continue advertising.
11. Governing law
These terms are governed by the laws of India, and the courts of India have jurisdiction. Nothing here limits rights you have under Indian consumer protection law.
